The Website is operated by Nocka, LLC, doing business as Headliner Domes (“Headliner Domes,” “we,” “us,” or “our”).

By accessing or using this Website, submitting an inquiry or quote request, or otherwise interacting with the Website, you acknowledge that you have read, understood, and agree to these Terms.

If you do not agree with these Terms, please discontinue use of the Website.

1. ABOUT HEADLINER DOMES

Headliner Domes provides specialty event structures and related products and services for weddings, private celebrations, corporate and brand events, festivals, nonprofit and community events, hospitality venues, experiential activations, and other occasions.

Our offerings may include, without limitation:

  • Crossover domes and specialty dome structures;
  • Tipi and bamboo tipi structures;
  • Structure rentals;
  • Structure sales;
  • Delivery and professional installation;
  • Breakdown and removal;
  • Lighting;
  • Climate-control solutions;
  • Flooring;
  • Furniture and lounge furnishings;
  • Draping and décor;
  • Flowers and styling;
  • Branding and experiential activation options;
  • Utility-related services; and
  • Other event-related products, upgrades, and add-ons.

Availability varies based on structure, event location, event date, site conditions, inventory, staffing, transportation requirements, permitting requirements, and other factors.

2. WEBSITE INFORMATION

We make reasonable efforts to ensure that the information presented on this Website is accurate and current. However, photographs, renderings, dimensions, descriptions, specifications, capacities, colors, configurations, pricing examples, availability, add-ons, and other information are provided for general informational purposes unless expressly included in a written agreement.

We reserve the right to update, modify, discontinue, replace, or correct Website content at any time without prior notice.

Typographical errors, outdated content, technical inaccuracies, or other errors on the Website do not create a contractual obligation on the part of Headliner Domes.

3. REQUESTS FOR QUOTES AND INQUIRIES

Submitting a request for a quote, consultation, availability inquiry, purchase inquiry, or other form through the Website does not:

  • Reserve a structure;
  • Guarantee availability;
  • Guarantee pricing;
  • Create a rental agreement;
  • Create a purchase agreement;
  • Require Headliner Domes to provide services; or
  • Create a binding contract between you and Headliner Domes.

All rentals, purchases, installations, and event services are subject to availability and final written approval by Headliner Domes.

A reservation or transaction is considered confirmed only after all requirements specified by Headliner Domes have been satisfied, which may include execution of an applicable proposal, rental agreement, purchase agreement, or other written contract and receipt of any required payment or retainer.

4. RENTALS

Structure rentals and related services are governed by the specific proposal, rental agreement, invoice, Rental Policies, or other documentation issued for the event.

These documents may contain additional provisions regarding matters including:

  • Payments and retainers;
  • Cancellation and rescheduling;
  • Delivery and pickup;
  • Installation and breakdown;
  • Site requirements;
  • Weather and unsafe conditions;
  • Damage and loss;
  • Client responsibilities;
  • Insurance;
  • Permits and approvals;
  • Cleaning;
  • Overtime or extended rental periods;
  • Travel and transportation charges; and
  • Other event-specific requirements.

If there is a conflict between these Website Terms and a signed rental agreement or event-specific contract, the signed agreement will control with respect to that transaction.

5. STRUCTURE PURCHASES

Certain Headliner Domes structures may be available for purchase.

Submitting a purchase inquiry does not constitute an order or guarantee inventory, availability, delivery dates, specifications, or pricing.

Purchases may be governed by separate Purchase Terms, quotations, invoices, sales agreements, manufacturer specifications, shipping requirements, warranties, and other documentation.

If there is a conflict between these Website Terms and a written purchase agreement or Purchase Terms applicable to a transaction, the transaction-specific terms will control.

6. PRICING

Unless specifically stated otherwise in a written proposal or agreement, Website pricing, starting prices, examples, promotional offers, and estimates are informational only and may change without notice.

Final pricing may depend on factors including:

  • Structure selection and quantity;
  • Event location;
  • Event duration;
  • Installation requirements;
  • Site accessibility;
  • Surface and anchoring conditions;
  • Delivery distance;
  • Labor requirements;
  • Add-ons and customization;
  • Branding requirements;
  • Permits;
  • Utilities;
  • Climate-control requirements;
  • Event schedule;
  • Holidays or premium dates; and
  • Other event-specific requirements.

Taxes, delivery charges, installation fees, permit fees, processing fees, travel costs, and other charges may apply where applicable.

7. AVAILABILITY

Our structures are specialty inventory and may have limited availability.

Website display of a structure does not guarantee that the structure is available for a particular event date or location.

Inventory is not reserved until Headliner Domes confirms the reservation in accordance with the applicable proposal or agreement.

8. SITE CONDITIONS AND INSTALLATION

Headliner Domes structures require professional evaluation, delivery, installation, securing, and breakdown as applicable.

Clients may be required to provide accurate information regarding the installation location, including surface conditions, dimensions, access routes, underground utilities, venue requirements, loading restrictions, power availability, and other site conditions.

Headliner Domes reserves the right to decline, modify, delay, suspend, or discontinue an installation when we reasonably determine that site conditions, weather, venue restrictions, safety concerns, permitting issues, inaccurate information, or other circumstances make installation unsafe or impractical.

Specific installation obligations will be governed by the applicable rental or service agreement.

9. WEATHER AND SAFETY

Outdoor events are subject to weather and environmental conditions outside the control of Headliner Domes.

Headliner Domes may take reasonable actions necessary to protect guests, employees, contractors, equipment, and structures when weather or other conditions create a safety concern.

Such actions may include delaying installation, modifying a configuration, restricting use, evacuating a structure, removing accessories, dismantling a structure, or declining installation.

Specific weather, cancellation, rescheduling, and safety provisions applicable to an event will be contained in the applicable Rental Policies or rental agreement.

10. EVENT PERMITS AND VENUE APPROVALS

Depending on the event location and structure configuration, permits, inspections, fire-marshal approvals, venue authorization, engineering documentation, utility markings, or other governmental or third-party approvals may be required.

Unless expressly stated otherwise in writing, the client is responsible for confirming all venue requirements and communicating them to Headliner Domes before the event.

Responsibility for obtaining and paying for specific permits or approvals will be determined in the applicable proposal or agreement.

11. PHOTOGRAPHS, RENDERINGS, AND REPRESENTATIONS

Images displayed on the Website may include actual installations, staged photographs, manufacturer photographs, conceptual designs, digital renderings, branded mockups, or examples showing possible structure configurations.

Images are intended to illustrate the style and potential use of our structures. Actual structures, accessories, finishes, colors, décor, landscaping, lighting, furnishings, branding, surroundings, and configurations may differ.

Third-party logos or trademarks displayed in conceptual renderings or portfolio materials remain the property of their respective owners and do not necessarily indicate sponsorship, endorsement, affiliation, or partnership.

12. INTELLECTUAL PROPERTY

Unless otherwise indicated, the Website and its content—including the Headliner Domes name, logos, branding, photographs, graphics, videos, renderings, text, layouts, designs, marketing materials, and other content—are owned by or licensed to Headliner Domes and are protected by applicable intellectual-property laws.

You may view Website content for personal or legitimate business purposes related to evaluating Headliner Domes products and services.

You may not, without prior written permission from Headliner Domes:

  • Copy or reproduce Website content for commercial use;
  • Republish or redistribute our photographs or videos;
  • Modify our branding or marketing materials;
  • Use our logos or trademarks;
  • Scrape or systematically extract Website content;
  • Represent our structures or content as your own;
  • Use Website content to create misleading competitive materials; or
  • Use our intellectual property in a manner that suggests an unauthorized affiliation with Headliner Domes.

13. CLIENT-PROVIDED BRANDING AND CONTENT

If you provide Headliner Domes with logos, trademarks, artwork, photographs, designs, files, or other materials for branded structures, event activations, mockups, or related services, you represent that you own those materials or have authorization to use and provide them.

You grant Headliner Domes a limited right to use those materials as reasonably necessary to prepare designs, renderings, proposals, production materials, or services requested by you.

You are responsible for any intellectual-property claims resulting from materials you supply without proper authorization.

14. ACCEPTABLE USE OF THE WEBSITE

You agree not to use this Website:

  • For unlawful or fraudulent purposes;
  • To submit false or misleading information;
  • To impersonate another person or organization;
  • To attempt unauthorized access to Website systems;
  • To introduce malware, malicious code, or harmful technology;
  • To interfere with Website operation or security;
  • To harvest information from other Website users;

To the fullest extent permitted by applicable law, the Website and Website content are provided on an “as is” and “as available” basis.

Headliner Domes does not warrant that:

  • The Website will always be uninterrupted or error-free;
  • Website information will always be complete or current;
  • The Website will be free from viruses or harmful components; or
  • Information displayed on the Website will satisfy every specific event or site requirement.

Nothing in this section limits warranties or obligations expressly provided in a separate written agreement.

19. LIMITATION OF LIABILITY

To the fullest extent permitted by applicable law, Headliner Domes and its owners, members, employees, contractors, representatives, and affiliates will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages resulting solely from your access to, inability to access, or reliance upon the Website.

This limitation applies to Website use and does not replace or modify liability provisions contained in an applicable rental agreement, purchase agreement, or other written contract.

Nothing in these Terms excludes liability that cannot legally be excluded or limited under applicable law.

20. INDEMNIFICATION

To the extent permitted by law, you agree to indemnify and hold harmless Headliner Domes and its owners, members, employees, representatives, contractors, and affiliates from claims, damages, liabilities, costs, or expenses arising from:

  • Your unlawful misuse of the Website;
  • Your violation of these Terms;
  • Content or intellectual property you provide without proper authorization; or
  • Your infringement of another person’s rights.

Event-specific indemnification obligations, if any, will be governed by the applicable rental, purchase, or service agreement.

21. FORCE MAJEURE

Headliner Domes will not be responsible for Website interruptions or failures caused by circumstances reasonably beyond our control, including severe weather, natural disasters, fires, floods, utility failures, internet outages, cyber incidents, government actions, labor disruptions, epidemics, transportation interruptions, or similar events.

Force-majeure provisions governing a specific event, rental, purchase, delivery, or installation will be determined by the applicable written agreement.

22. GOVERNING LAW

These Terms and your use of the Website are governed by the laws of the State of Texas, without regard to conflict-of-law principles.

Unless a separate written agreement provides otherwise, any legal action arising specifically from these Website Terms shall be brought in a court of competent jurisdiction located in Tarrant County, Texas, and the parties consent to jurisdiction and venue in those courts.

23. SEVERABILITY

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, the remaining provisions will remain in full force and effect to the fullest extent permitted by law.

24. NO WAIVER

Headliner Domes’ failure to enforce any provision of these Terms does not constitute a waiver of that provision or our right to enforce it in the future.

25. CHANGES TO THESE TERMS

We may update these Terms periodically to reflect changes to our Website, products, services, business practices, or applicable legal requirements.

The updated Terms will be posted on this page with a revised “Last Updated” date.

Your continued use of the Website following publication of revised Terms constitutes acceptance of the updated Terms to the extent permitted by applicable law.

Changes to these Website Terms will not retroactively modify a separately executed rental, purchase, or service agreement unless agreed to in accordance with that agreement.

26. ENTIRE AGREEMENT REGARDING WEBSITE USE

These Terms, together with our Privacy Policy and other policies expressly incorporated by reference, constitute the agreement between you and Headliner Domes regarding general use of this Website.

These Terms do not replace a rental agreement, purchase agreement, proposal, invoice, or other transaction-specific agreement.
